AI systems depend on third-party platforms and client data. Codiengo does not guarantee accuracy, uptime, or business outcomes.

3.2 WhatsApp Marketing

Codiengo acts as an implementation partner only. Meta policies govern approvals, bans, and message delivery.

3.3 Digital Marketing

Results vary due to market conditions, budgets, competition, algorithms, and client sales processes. No guarantees are provided.

3.4 Websites, Apps & UI/UX

Timelines are indicative. Maintenance and hosting are excluded unless agreed in writing.

4. Client Responsibilities

Clients must provide accurate information, timely approvals, ensure legal compliance, and use services ethically.

5. Payments

  • 100% advance payment required
  • Ad spend is separate from service fees
  • All prices are proposal-specific and exclusive of taxes

6. Intellectual Property

All Codiengo frameworks, AI logic, prompts, workflows, and methodologies remain Codiengo’s intellectual property. Client deliverables are transferred after full payment for business use only.

7. No Warranties & Limitation of Liability

Services are provided "as-is". Codiengo is not liable for indirect, consequential, or business losses. Liability, if any, is limited to the current billing cycle fee.

8. Indemnification

Clients agree to indemnify Codiengo against claims arising from misuse, breach, or legal violations.

9. Termination

Codiengo may suspend or terminate services for non-payment, policy breach, or unethical practices. No refunds apply.

10. Governing Law

Indian law applies. Jurisdiction: Courts of Bhopal, Madhya Pradesh.
